A bit about me:

I teach corporate law (and M&A, CorpFin, corporate governance, etc...) at FSU.

I write primarily about public markets: everything from the law and economics of the IPO decision, to appraisal arbitrage, to corporate governance in the shadow of the culture wars.

I'm sure 68.53% accuracy in corpfin is going to go just fine for everyone

Heck, with 68% accuracy in corpfin, why use M & A lawyers for due diligence anymore?

TOTALLY.

I’ve worked in capital markets and “CORPFIN” for 20 years.

There’s nothing any jerkoff tech bro could say to convince me that TeSSla has a future.

Even my Wall Street peeps tell me several other companies have already surpassed them in category…

Before I was broke and working in CORPFIN with the khakis, stock options, and sketchy items booked to the “Morale” expense category… I was told, if you can’t explain it in 3-5 minutes, you don’t really understand it. This is why I refuse to watch any YouTube video longer than 5 mins for any reason.

No-action letters this season will likely be an area of close study as companies try to get a sense for the current vibe at CorpFin. As a result of recent litigation asset mangers are opening more share classes to individual investor votes but there's still a lot of infrastructure to stand up there

I’m educated in finance and have worked in investments and corpfin for ~15 years, including investing modest (8 fig) endowments.

The more I’ve learned, the more I realize I don’t either.

For CIO I wrote about the weird proxy season this year - we got new guidance from CorpFin at the SEC mid-season which doesn't usually happen & it gave companies ammo to try to get more things excluded from a vote, also investors still support DEI & ESG, & they aren't a blank check on comp

I had one trigger me yesterday. She posts this bullshit inspirational post about “finding diamonds in the rough” a month after telling me running my own consulting shop for 8 years was going to make getting back into CORPFIN “really challenging”. Haven’t heard a word from her since.

So then from 2022 to late last year, they all retired, or sold their businesses. Basically one every 7/8 months and then 2 within a month of each other late last year, right after my wife was laid off. I’d actually gotten a few interviews back in CORPFIN in 2023, but they all had…

When I left CORPFIN in 2014, I went on my own because I had 2 high-net-worth peeps who needed help and another 3 consulting peeps who referred me work. I could do a better job than PWC for 1/3rd the price. Sure, I wasn’t making the same $$$ at all, but it probably saved my marriage.

Synergy guidance boosts announcement reactions but often fails to materialise. Disclosers show more goodwill impairments, weaker performance, and lower long‑run returns. External verification (UK Rule 28) improves credibility. spkl.io/6332578Znv #CorpFin
