A seller note for the same amount as cash isn't the same as cash. I've watched owners treat them as equal. With September inflation at 3.7%, check the rate and timeline first. Comment NOTE.

An important read for any seller. Deal structure drives much of the after-tax result: asset or equity sale, how the price is allocated, and how earnouts or seller notes are taxed. Those terms are far easier to shape at the letter of intent than after diligence starts.

Choices like that are more common in practice transitions than people assume. A dentist-to-dentist sale often keeps the team and patients intact, while consolidator offers tend to carry rollover equity or earnouts, so the headline price and what the seller keeps can differ.

IonQ will pay up to $1.3 billion in stock for cybersecurity firm Elisity
IonQ's market value sits around $16 billion. It's paying up to $1.3 billion of that in stock for a seven-year-old cybersecurity startup, a bet on where the company thinks the real money is. IonQ said Monday it will acquire Elisity, a San Jose, California-based cybersecurity firm, in an all-stock deal worth up to $1.3 billion. Up to $150 million of that value is tied to earnouts based on Elisity's post-closing performance. IonQ said the exchange ratio pegs IonQ shares to a reference price between $33.07 and $49.61. The stock closed Friday at $39.89, putting IonQ's own market value around $16 billion. Elisity's chief executive, James Winebrenner, is expected to stay on after the deal closes. Founded in 2019, Elisity builds identity-based microsegmentation software, the kind of tool that stops ransomware and intruders from hopping between machines once they're already inside a network. Its customers lean heavily on healthcare systems and hospitals, outfits with sprawling device fleets and very little tolerance for downtime. It's not a flashy category. It's also becoming a mandatory one: Gartner expects 60% of enterprises pursuing zero-trust architecture to run more than one form of microsegmentation by 2026, up from under 5% in 2023. Elisity had raised...
