I thought I'd respond with some numbers (hopefully no obvious mistakes), but it got too long and I don't want a ridiculous thread, so I decided to abuse alt text instead. Let's see if that works. The image is of recent MSTR NAV mulitples, with a clear rising and falling action.
Just to have numbers, I really don’t think “0%” is a useful way of thinking of this. Let's assume that the November 20 bonds are converted (the optimistic path, I think). There's a minimum of $2.58 billion in principal. At a $1000:1.4872 conversion rate, that's 3.84 million shares. 245.46M shares outstanding, so that dilutes each share by 1.54%.
 That loan principal is $10.52/share. Suppose everyone converts on the first date, June 1, 2028, about 3.6 years from issue. IB offers 5.17% margin loans on $3.5M+, I'm sure MSTR can do better. At that rate they'd repay $12.61. So, from the shareholder's perspective, they'd do better than just getting that loan if the share price is *below* $818.83. At the current premium that holds if BTC < $228.3k. (Using the fed rate of 4.33% you get $795.45, $221k respectively) $683 on the conversion date is the share price where it'd actually be a 0% loan. However, no one would do the conversion if the share price is below the stated conversion price of $672.40, they'd just take their principal back, so it's a small range of values where there are actual negative interest rates. So it's funny: it's actually a bet that they won't do that well. If they push the NAV premium higher, that makes it more likely it was a bad choice. If Bitcoin continues to grow at the rate you showed, they again do worse. Your averaged chart has BTC doubling every two years; in 3.6 years it'd grow by 3.5x, so it'd be worth about $350k. That implies MSTR at $1228+, which would be diluted by $18.9, equivalent to a 17% interest loan. As for the underlying theory of this increasing the value of the stock relative to the price of Bitcoin, November 20 happened to be MSTR's all time record; it's been trending downwards, while BTC has been upwards recently, whatever happened today excluded. So, yeah, I'm not really convinced this is a great loan unless they expect the NAV premium to disappear. Which if it did, at $350k BTC, MSTR would trade around $669. Hrm!
