Ondas (ONDS) acquired three defense technology businesses, Insignito, Ottopia Defense and Caribou Labs, for aggregate consideration of $56 million, payable in cash or Ondas common stock.The acquired companies add acoustic counter‑UAS sensing, mission‑critical remote control and resilient, GPS‑independent communications that are deployed or mission‑ready in contested and GNSS‑denied environments. Ondas plans to integrate these capabilities with its existing autonomous air and ground platforms to build an end‑to‑end technology stack spanning detection, connectivity, navigation, autonomy and mission execution.The purchase price represents less than 3x the businesses’ expected 2027 revenue, with additional earnout potential of up to $32 million through 2028. Ondas also granted inducement equity awards covering 2,979,063 RSUs and 80,000 options at an exercise price of $7.72 per share to 37 new employees, subject to multi‑year vesting schedules.
