Larry Ellison has pledged 30% of his Oracle shares for roughly $21bn of personal loans. The future of Oracle and the Ellison family hinges on its ability to build 7.1GW of data center capacity and for OpenAI to pay it $300 billion over 5 years.

Yes, I used the word "further." Ellison has already pledged 346 million shares of his Oracle stock - or around $61.5 billion - "to secure certain personal indebtedness, including various lines of credit," meaning "many big, beautiful loans against his Oracle shares." which IFR estimated back in September (when Oracle's stock price was much higher) could allow him to secure as much as $21.4 billion in debt at a (they say "conservative" loan-to-value ratio of 20%, and that's assuming the banks weren't particularly generous. Remember: Oracle's other businesses are either barely growing or entirely plateaued. There is no other business that could pick up the slack. There is no funding line, no masterstroke, and no secret plan that can make this all magically "fixed." And while Oracle's history with the US government might help keep some of it alive, that doesn't extend to its stock price. If Oracle's stock price collapsed, Larry Ellison would face margin call after margin call, and be forced to sell Oracle shares to make payments on his loans, which would in turn lower the price of Oracle shares. While he might be able to flog other assets, they're mostly illiquid - an island in Hawaii, a media company that lost over $500 million last quarter, shares in a social network that loses billions of dollars a year, and whatever cash he might have on hand. To be clear, all of this happens if Oracle cannot find a tenant to pay it $75 billion in annual revenue, with $10 billion of that for GB200 GPUs that will be two years old by the time Abilene is finished. It also assumes that the projects get finished, which I'd argue is up for debate. While the boring doomers out there might be tempted to say "bailout," that doesn't fix Oracle's share price cratering, or create a new growth vehicle to replace GPU compute, or fix its other flailing and failing businesses, or pay off Ellison's loans.

Stargate is entirely built to provide compute to one customer - OpenAI. Oracle is spending around $48 million per megawatt on each data center, financed with off-balance-sheet debt funneled through SPVs. Even then, Oracle is fully responsible.

Oracle is taking on a massive amount of debt to build these data centers, working with a labyrinthine network of financiers and construction partners to pull together the capacity necessary to get paid for its five-year-long $300 billion compute deal with OpenAI. Oracle has also, per Bloomberg, deliberately raised money using “project financing” loans that are repaid using the projected cashflow, allowing it to keep the massive amount of debt off of its balance sheet. This is remarkable — and offensive! — because it’s borrowing over $38 billion to fund construction of its Wisconsin and Shackelford data centers (the largest debt deal of its kind on record) and said debt will now effectively not exist despite its massive drag on Oracle’s cashflow, which sat at negative $24.7 billion in its last quarterly earnings. Based on estimates ($30 million in critical IT and $14 million in construction per megawatt) from TD Cowen’s Jerome Darling, the total cost of Oracle’s 7.1GW of data center capacity will be somewhere in the region of $340 billion to build. All of these data centers are being built for a single tenant — OpenAI — which expects, per The Information, to lose over $167 billion (assuming it hits annual revenues of over $100 billion) by the end of 2028, and as a result does not actually have the money to pay Oracle for its compute on an ongoing basis.
